1. Introduction

Welcome to Cargoqon. These Terms of Service ("Terms") govern your access to and use of the Cargoqon marketplace platform operated by Cargoqon s.r.o., a company registered in the Slovak Republic.

By creating an account or using our platform, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use Cargoqon. These Terms apply equally to carriers (transport companies) and senders (businesses shipping goods).

2. Platform Role

Cargoqon is a marketplace that connects carriers and senders directly. We provide the technology, matching algorithm, and payment infrastructure — but we are not a party to the shipping contracts between users.

Cargoqon is not a carrier, freight forwarder, or logistics provider. We do not take possession of cargo, set shipping rates, or control how carriers execute deliveries. When a booking is confirmed through our platform, the contractual relationship is directly between the carrier and the sender.

Our role is to facilitate discovery, matching, booking, and payment — making the process faster, cheaper, and more transparent than traditional spedition.

3. Account Registration

To use Cargoqon, you must register a business account. You agree to provide accurate, current, and complete information — including your company name, registration number, VAT ID, and contact details.

You are responsible for maintaining the confidentiality of your account credentials. All activity under your account is your responsibility. Notify us immediately if you suspect unauthorized access.

4. Carrier-Specific Terms

4.1 Subscription

Carrier access requires an annual subscription:

  • Standard rate: €1,190/year, billed annually
  • Founding members: €580 one-time fee, first year free, then €580/year (50% off standard rate)
  • Payment accepted via bank transfer, credit card, or SEPA direct debit
  • Subscriptions auto-renew unless cancelled at least 30 days before the renewal date

4.2 Insurance Requirements

All carriers must maintain valid insurance throughout their membership:

  • Minimum cargo insurance: €125,000 per shipment
  • Minimum liability insurance: €1,000,000
  • Insurance certificates must be uploaded and verified before first booking
  • You must notify us within 7 days of any change in insurance coverage

4.3 Licenses and Compliance

Carriers must hold valid transport licenses as required by applicable law (CMR, EKMT, or national licenses). You are solely responsible for regulatory compliance in all jurisdictions where you operate.

4.4 Rates and Load Acceptance

You set your own rates freely. You may accept or decline any load at your discretion. Once you accept a booking, it becomes a binding commitment to the sender.

4.5 Cancellation by Carrier

If you need to cancel an accepted booking, you must do so at least 24 hours before the scheduled pickup. Late cancellations may result in penalties, including reduced visibility in matching and, for repeated violations, account suspension.

5. Sender-Specific Terms

5.1 Transaction Fees

Senders pay a per-booking fee:

  • Standard rate: 6% of the booking value, charged at confirmation
  • Founding members: 3% of the booking value for life (one-time €580 founding fee applies)
  • First 20 shipments free for founding members
  • No subscription or setup fees

5.2 Cargo Descriptions

You must provide accurate cargo information including weight, dimensions, type, and any hazardous material classifications. Inaccurate descriptions that result in carrier damages or regulatory violations are your responsibility.

5.3 Payment Terms

Payment to the carrier is due within 14 days of confirmed delivery. Cargoqon facilitates payment processing but is not responsible for disputes over cargo condition or delivery quality — these are between you and the carrier.

5.4 Cancellation by Sender

You may cancel a booking free of charge before a carrier accepts it. After carrier acceptance, cancellation fees apply: 24+ hours before pickup — 10% of booking value; under 24 hours — 25% of booking value.

6. Matching and Booking

Our algorithm matches loads with carriers based on routes, truck type, capacity, timing, and preferences. Matching suggestions are not guarantees — they are recommendations based on available data.

A booking is confirmed when a carrier accepts a load and the sender confirms. At that point, a direct contractual relationship is formed between the carrier and sender. Cargoqon is not a party to this contract.

7. Payments and Fees

7.1 Fee Structure

  • Carriers: €1,190/year flat subscription (founding members: €580 one-time + €580/year after first free year)
  • Senders: 6% per confirmed booking (founding members: €580 + 20 free shipments)
  • Founding member pricing is non-transferable and locked to the original account

7.2 Refund Policy

  • Founding member subscriptions: Cancel anytime. Pro-rata refund for the remaining period of your current billing cycle.
  • 14-day money-back guarantee: Full refund within 14 days of purchase, no questions asked. This applies as a voluntary right of withdrawal.
  • Carrier subscriptions (post-launch): Pro-rata refund if the platform is unavailable for more than 7 consecutive days.
  • Sender transaction fees: No refund after shipment has started. Full refund if booking is cancelled before carrier pickup.
  • How to request a refund: Email legal@cargoqon.com with your organization ID and reason.

7.3 Late Payment

Late payments incur interest at 0.05% per day, in accordance with Slovak commercial law. We may suspend your account after 30 days of non-payment.

8. Liability and Insurance

8.1 Platform Liability

Cargoqon's total liability to any user shall not exceed the total fees paid by that user in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

8.2 Carrier Liability

Carriers bear full liability for cargo during transport in accordance with the CMR Convention for international shipments and applicable national law for domestic shipments.

8.3 Cargoqon Is Not Liable For

  • The performance or conduct of carriers or senders
  • Cargo damage, loss, or theft during transport
  • Delayed or failed deliveries
  • Inaccurate cargo descriptions provided by senders
  • Disputes between carriers and senders

8.4 Dispute Resolution

If a dispute arises between a carrier and sender:

  1. Platform mediation — contact us within 7 days; we will attempt to facilitate resolution
  2. If unresolved — the dispute falls under the jurisdiction of the Slovak Commercial Court in Bratislava
  3. EU consumer protection regulations apply where applicable

9. Intellectual Property

The Cargoqon platform, including its software, design, matching algorithm, and content, is owned by Cargoqon s.r.o. and protected by intellectual property laws. These Terms do not grant you any ownership rights in our platform.

You retain ownership of the data you provide (routes, cargo descriptions, company information). By using the platform, you grant us a license to use this data for the purpose of providing and improving our services.

10. Termination

You may close your account at any time through your account settings or by contacting us. Carrier subscriptions are non-refundable for the current billing period upon voluntary termination.

We may suspend or terminate your account immediately for violation of these Terms, fraudulent activity, repeated late cancellations, or failure to maintain required insurance or licenses. We will provide notice and an opportunity to remedy the violation where practical.

11. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or a prominent notice on the platform.

Continued use of Cargoqon after the notice period constitutes acceptance of the updated Terms. If you disagree with the changes, you may close your account before they take effect.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Slovak Republic. Any disputes shall be resolved in the competent courts of Bratislava, Slovakia.

EU regulations — including GDPR and consumer protection directives — supersede these Terms where applicable. For cross-border transport, the CMR Convention applies.
